<MrCooper> I share pinchartl's concerns re the apparent lack of transparency / accountability of the CoC committee; which board members are overviewing the committee?
<emersion> the whole board afaik
<MrCooper> the majority of committee members are also members of the board
<MrCooper> seems like a conflict of interest
<emersion> the problem is that we really are _already_ short on volunteers
<emersion> also, the reverse isn't true
<emersion> (most of the BoD isn't in the CoCC)
<emersion> note, we are trying to get more volunteers in
<MrCooper> "The Board can overrule the CC with a seventy-five percent (75%) majority vote" is that 75% of all board members, or of voting members? Do CC members get to vote on that?
<emersion> what's the difference between board memeber and voting member?
<emersion> i don't see anywhere that CC members don't gte a vote
<MrCooper> if it's 75% of all members, it means 6 members have to vote to overrule, which requires at least one CC member
<emersion> hm, that sounds correct
<emersion> maybe something to discuss next BoD meeting
<emersion> Lyude, could get that on the angenda maybe?
<karolherbst> MrCooper: there is a requirement that one CoC team member also is on the board
<karolherbst> emersion: just joined the board after being voted into the coc team
<emersion> right, for me it was CC and then BoD
<karolherbst> but as stated above, if the community wishes those rules to be changed, we are totally up for it
<karolherbst> just somebody needs to change the rules (which often requires bylaw changes)
<MrCooper> some overlap in membership isn't necessarily a problem per se, there need to be safeguards against conflict of interest though
<karolherbst> yeah, I agree
<MrCooper> a member of the board cannot overview themselves as CC member
<karolherbst> yeah, and I think it's a fair request to expect coc members to recuse themselves in such votes
<MrCooper> then the 75% majority vote thing might need clarification as well

<karolherbst> Lyude: ^^ so that doens't get lost either.
<karolherbst> we should also start publishing internal processes we have, e.g. in terms of conflict of interest, because that's also going to be relevant from time to time

<sima> MrCooper, the idea was that the coc has some leeway against a board member, in case that's ever needed
<sima> but in the end the board can toss the entire policy, code of conduct and entire code of conduct team with a simple majority vote
<emersion> sounds a bit weird that the requirement to overrule the CoC are higher than the requirements to disband it
<sima> self imposed power limits
<karolherbst> anyway, this isn't really about any technicalities, if members of the community feel better with having the policies changed, I think that's reason enough to do it
<sima> yeah plus that too
<sima> emersion, originally I also proposed that the secretary of the board cannot also be on the coc team, because that would make it a bit too easy to drag out any appeals forever
<sima> but we dropped that due to complete lack of volunteers
<emersion> ah
<emersion> makes sense
<emersion> where is the simple majority vote to toss everything mentionned?
<karolherbst> yeah.. there are a few things I'd personally done differently if it would be up to me, but sadly reality is different and constraints like that are also something which make it hard to change those things sadly
<sima> bylaws on what the board can do
<sima> karolherbst, the coc/hosting policy is fairly easy to change, if you want it changed
<karolherbst> yeah.. I was thinking the same
<karolherbst> or rather, that we might want to change it
<karolherbst> anyway, I've started to draft the "that's our processes" doc so we can publish it, which also links to the policy page, because I think for most people it's totally not apparent what those rules are at all
